Terms of Service
1. Who we are
ZGo (“ZGo”, “we”, “us”, “our”) is the trading name used by the independent operator of the ZGo API Gateway. References to ZGo in these Terms mean that operator. Our contact email is support@zgoapi.cc.
We provide the service from infrastructure located outside mainland China. We do not represent that the service is appropriate or available in every jurisdiction.
2. The service
ZGo provides an OpenAI-compatible API gateway that routes requests to third-party AI model providers and API aggregators. The service includes account management, API keys, usage metering, prepaid credits, documentation, and related support.
Model availability, context limits, pricing, latency and output quality depend on third-party providers and may change without notice. We are not affiliated with, endorsed by, or an official reseller of OpenAI, Anthropic, Google, xAI or any other model owner unless we expressly state otherwise in writing. Model and company names are trademarks of their respective owners.
3. Eligibility and accounts
- You must be at least 18 years old and legally able to enter into this agreement.
- You must provide accurate account information and keep it current.
- You are responsible for all activity under your account and API keys. Keep credentials confidential and notify us immediately of unauthorised use.
- You may not create accounts to evade limits, suspensions, fraud controls, or these Terms.
4. Credits, pricing and payment
4.1 Prepaid credits
The service is sold using prepaid credits. Credits are a limited, closed-loop entitlement to use our API service. They are not money, stored value, a bank deposit, or a security. Credits are non-transferable, cannot be sold or shared, and cannot be redeemed for cash.
Subscription credits are issued for each billing period. Unused subscription credits expire at the end of that period and do not carry over unless a promotional offer expressly states otherwise. Separately purchased credit packs are one-time purchases and do not expire. Usage is deducted based on the prices displayed in the service or at checkout. Prices are stated in US dollars unless otherwise indicated.
4.2 Payment processing and merchant of record
Payments are processed by Waffo Pancake, which acts as merchant of record for covered transactions and handles payment processing, applicable taxes, receipts and related compliance. Waffo’s terms and privacy policy also apply to the payment transaction. We do not receive or store your full card number.
4.3 Subscriptions and credit packs
Subscriptions renew automatically at the interval you select (monthly, quarterly, or yearly) until you cancel. You may cancel from the account dashboard or by contacting support; cancellation stops future renewals, and access continues until the end of the current paid period. Credit packs are one-time purchases and are never automatically renewed or recharged.
5. Refunds
Refunds are governed by our Refund Policy. In summary, credits are digital services that become available immediately, and we do not offer unconditional refunds after credits are issued. We do handle duplicate charges, payments that were not credited, incorrect amounts, and service termination with unused balance. Nothing in these Terms limits rights that applicable mandatory law gives you.
6. Acceptable use
You may use the service only for lawful purposes and in compliance with these Terms, applicable law, card-network rules, and the terms of the upstream providers. You must not use the service to:
- generate or distribute illegal, defamatory, fraudulent, harassing, or sexually exploitative content, including any sexual content involving minors;
- create or distribute malware, phishing content, credential-stealing tools, or attack infrastructure;
- create deepfakes or impersonate a real person in a way that is deceptive or harmful;
- infringe intellectual property, privacy, publicity, or other rights;
- bypass security controls, rate limits, authentication, billing, geographic restrictions, or the terms of another service;
- resell, sublicense, or provide API access to third parties without our prior written authorisation;
- use the service in high-risk activities where an AI error could cause death, personal injury, or severe financial or environmental harm.
Our Acceptable Use Policy sets out the six prohibited categories in detail, together with our reporting, moderation, and enforcement process. We screen the latest user prompt with Waffo Prompt Sift before generation; only an allow decision proceeds. Outputs are also checked under our content rules and provider safety controls before or during delivery.
We may investigate suspected abuse and may suspend or terminate access, with or without notice where necessary to protect the service, users, providers, or the public.
7. AI outputs and intellectual property
As between you and ZGo, you retain your rights in the inputs you submit. Subject to your compliance with these Terms and the upstream providers’ terms, you may use the outputs you generate. We do not claim ownership of your outputs.
You grant us a limited, non-exclusive licence to process your inputs and outputs solely to provide, secure, and support the service. We do not use your API content to train our own models. Third-party providers may process content under their own terms; you are responsible for reviewing those terms before submitting sensitive data.
AI outputs can be inaccurate, incomplete, biased, or out of date. You must review outputs before relying on them. Outputs are not legal, medical, financial, or other professional advice. You are responsible for your use of outputs and for obtaining any necessary rights or consents.
8. Availability and changes
We aim to provide a reliable service but do not guarantee uninterrupted availability. The service may be unavailable due to maintenance, upstream outages, network failures, abuse, or events beyond our reasonable control. We may change, deprecate, or remove models, features, or pricing. Material changes to paid features will be communicated through the service or by email where practicable.
We do not provide a service-level agreement unless we separately agree to one in writing.
9. Suspension and termination
You may stop using the service at any time. We may suspend or terminate your access if you materially breach these Terms, create fraud or security risk, violate law or card-network rules, or if required by a provider or authority. Where we terminate for reasons not caused by your breach, we will handle any unused credits in accordance with the Refund Policy. We may retain records as described in the Privacy Policy.
10. Disclaimers
To the maximum extent permitted by law, the service is provided “as is” and “as available”. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and accuracy of AI outputs. We do not warrant that any model will remain available or produce a particular result.
11. Limitation of liability
To the maximum extent permitted by law, ZGo is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunity. Our aggregate liability arising out of or relating to the service will not exceed the greater of (a) the amount you paid to us for the service in the 12 months before the event giving rise to the claim, or (b) US$100.
Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for fraud or death or personal injury caused by negligence where applicable law so requires.
12. Indemnity
To the extent permitted by law, you agree to indemnify and hold ZGo harmless from claims, losses, liabilities, and expenses arising from your content, your use of outputs, your breach of these Terms, or your violation of law or third-party rights.
13. Governing law and disputes
These Terms are governed by the laws of the Hong Kong Special Administrative Region of the People’s Republic of China. The courts of Hong Kong shall have jurisdiction, without prejudice to any mandatory consumer protection rights available to you in your country or region of residence.
Before starting formal proceedings, please contact support@zgoapi.cc and allow us a reasonable opportunity to resolve the issue.
14. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified through the service or by email at least 14 days before they take effect where practicable. The updated version will show a new effective date. Continued use after the effective date means you accept the updated Terms.
15. General
If any provision is found unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign your rights or obligations without our written consent. We may assign these Terms in connection with a merger, acquisition, or transfer of the service. These Terms and the Privacy Policy and Refund Policy form the entire agreement between you and ZGo regarding the service.
